When I first started out as a freelancer back in 2020, all I thought I needed was a contract. I had difficulty getting my potential clients to sign contracts – they would always delay and avoid signing it – but funnily, they didn’t have issues with a Statement of Work.

It wasn’t until 2021 that I realized what a freelance Statement of Work was – and why clients would that more quickly and easily – solely because (in my own opinion):
- A contract involves the client’s behavior, the things they should or should not do, and are generally more personal (which it should be) – hence, the reluctance in signing it.
- A Statement of Work is more about the services provided – the dates, deadlines, scope of Work, and payment schedule. This is less personal, more official, and hence clients find it easier to sign.
A Statement Of Work helps you to identify your own job scope very clearly, and gives you confidence to move forward knowing exactly what it is you need to do, rather than a vague description of sorts over a Zoom meeting (raise your hand if that’s you!)
That being said, many clients also forget what they expect you to do the moment they get off Zoom. A Statement of Work allows them to refresh their memory and perhaps add or edit the work they want you to do before you get started, thus avoiding unnecessary work or mixing up the scope of a project on both sides.

What Does A Statement Of Work Contain?
A good Statement of Work should include a purpose statement, list of services, project scope, work breakdown structure, payment schedule, project plan, and clear guidelines on performance work statement, scope creep, and termination agreement.
It should also specify any special requirements, specific needs, or particular project requirements. By providing a clear Statement of Work, freelancers can avoid scope creep, unnecessary extra work, and legal issues that can arise from a poorly written agreement.

Statement of Work VS Scope of Work, Project Charter & Master Services Agreement
Here are the differences between a Statement of Work, the Scope of Work, Project Charter, and Master Services Agreement (MSA):
- Statement of Work (SOW): A Statement of Work is a detailed document that outlines the specific tasks, deliverables, payment terms, due dates, and scope of the project for a particular client. It is a legal document that defines the project’s scope and establishes clear guidelines and expectations for the service provider and the client. A well-written SOW provides a mutual understanding of the project’s business needs and requirements.
- Scope of Work (SOW): The scope of Work (SOW) document defines the boundaries of a particular project and outlines the specific work that needs to be performed. It typically includes a list of tasks and deliverables, along with a description of the project’s scope and objectives. The Scope of Work document provides a detailed overview of the project’s requirements and expectations, but it may not include all of the legal terms and conditions of a formal contract.
- Project Charter: A project charter is a high-level document that outlines the objectives, scope, and stakeholders of a particular project. It typically includes a summary of the project’s purpose, scope, goals, and objectives, as well as the roles and responsibilities of the project manager and team members. The project charter is used to establish a common understanding of the project’s goals and objectives among all stakeholders.
- Master Services Agreement (MSA): A master service agreement (MSA) is a formal contract between a service provider and a client that outlines the terms and conditions of a working relationship. It typically includes general terms and conditions, payment terms, and intellectual property rights. An MSA may also include a Statement of Work (SOW) or multiple SOWs, which provide more specific details about the scope and requirements of individual projects.
In summary, a Statement of Work is a detailed document that outlines the specific tasks and deliverables required for a particular project, while a Scope of Work document defines the boundaries of a project and outlines the specific Work that needs to be performed. A project charter is a high-level document that outlines the objectives, scope, and stakeholders of a particular project, while a master services agreement (MSA) is a formal contract that outlines the terms and conditions of a Working relationship between a service provider and a client.

- Define the Project Scope: Next, define the project’s scope in detail. This should include a list of specific tasks and deliverables, as well as any special requirements or specific needs. Make sure to include the project’s start date, end date, and any due dates for specific deliverables to ensure a clear understanding of the project’s timeline.

- Provide Additional Details: Provide any additional details that are specific to the project, such as requirements for quality assurance, testing, and reporting. Be sure to include any special requirements or considerations that are unique to the project, such as the use of project management software or a Kanban board.
- Review and Edit: Once the SOW is complete, review and edit it for clarity and accuracy. It’s important to ensure that it’s written in simple language that’s easy to understand and follows industry standards and best practices.
- Get Signatures: Once the Statement of Work is complete, make sure that both the service provider and the client sign the document. This will serve as a legally binding agreement that establishes clear guidelines and expectations for the project.

Frequently Asked Questions
- Are Statement of Work (SOW) documents legally binding? Yes, SOW documents are legally binding contracts between a service provider and a client. They outline the scope of Work, payment terms, and other important details for a project, and once signed by both parties, they establish a legally binding agreement that is enforceable in court.
- Is a Statement of Work the same as a contract? While a Statement of Work is a component of a larger contract, it is not the same as a contract. A Statement of Work outlines the specific tasks and deliverables required for a particular project, while a contract is a broader agreement that outlines the terms and conditions of a Working relationship between a service provider and a client.
- How do I avoid scope creep in a Statement of Work? One way to avoid scope creep in a Statement of Work is to define the project scope clearly and in detail. An example is to include a list of specific tasks and deliverables, as well as any special requirements or specific needs. It’s also important to include a clause that protects both the service provider and the client against scope creep, and to establish a process for managing any changes to the scope of Work that may arise during the project.
- How do I handle changes to the project scope in a Statement of Work? If changes to the project scope arise during the project, it’s important to have a process in place for managing them. This may include requesting a change order or additional payment for the additional Work, or renegotiating the terms of the Statement of Work to reflect the new scope of Work. It’s important to have clear communication with the client and to document any changes to the scope of Work in writing to avoid any misunderstandings or disputes.
